Terms of Service

1. Agreement
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your") and RecurDesk ("we", "us", "our"). By creating an account or using RecurDesk ("the Service"), you agree to be bound by these Terms.
If you are using the Service on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.
2. The Service
RecurDesk is a cloud-based subscription billing and invoicing platform for B2B companies. The Service includes:
- Customer and subscription management.
- Automated invoice generation and delivery.
- Billing engine with configurable frequencies and pricing models.
- Integration with third-party services (e.g., Xero).
- Dashboard, reporting, and usage tracking.
- Leads, contacts, and quotes management.
- API access for programmatic integration.
3. Account Registration
- You must provide accurate and complete information when creating your account.
- You are responsible for maintaining the security of your account credentials.
- You must notify us immediately of any unauthorised access to your account.
- You must be at least 18 years old to use the Service.
- One person may maintain multiple accounts, but each workspace must represent a distinct business entity.
4. Free Trial and Subscription
4.1 Free Trial
New accounts receive a 6-month free trial with full access to all features. No credit card is required during the trial period. At the end of the trial, you must subscribe to a paid plan to continue using the Service.
4.2 Paid Subscription
- Subscription pricing is listed at recurdesk.com/#pricing.
- Subscriptions are billed monthly in advance.
- All fees are in Australian Dollars (AUD) unless otherwise stated.
- Subscription fees are non-refundable for change of mind.
4.3 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You retain access to the Service until the end of the paid period. After cancellation, your data will be retained for 90 days before permanent deletion.
5. Your Data
5.1 Ownership
You retain full ownership of all data you enter into RecurDesk, including customer records, invoices, subscriptions, and any other business data ("Your Data"). We do not claim any ownership rights over Your Data.
5.2 Licence
You grant us a limited, non-exclusive licence to use, process, and store Your Data solely for the purpose of providing and improving the Service. This licence terminates when you delete your account or data.
5.3 Data Isolation
Each workspace uses a dedicated, isolated database. Your Data is not shared with, visible to, or accessible by any other customer or workspace.
5.4 Data Export
You may export Your Data at any time through the Service's export features or API. Upon account termination, you will have 90 days to export your data before permanent deletion.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws.
- Attempt to gain unauthorised access to the Service, other accounts, or our systems.
- Transmit any malware, viruses, or harmful code.
- Interfere with the integrity or performance of the Service.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Resell, sublicence, or redistribute the Service without our written consent.
- Use the Service to send unsolicited communications (spam).
- Exceed reasonable usage limits or abuse API rate limits.
We reserve the right to suspend or terminate accounts that violate these terms.
7. Workspaces and Roles
- Workspace owners are responsible for managing members, roles, and permissions within their workspace.
- The role hierarchy is: Owner > Admin > Manager > Agent > Viewer. Each role has specific permissions as documented in the Service.
- Workspace owners are responsible for all activity within their workspace, including actions taken by invited members.
8. Third-Party Integrations
The Service integrates with third-party services including Google (authentication) and Xero (accounting). Your use of these integrations is subject to the respective third party's terms of service and privacy policy. We are not responsible for the availability, accuracy, or practices of third-party services.
You may connect and disconnect third-party integrations at any time through your workspace settings.
9. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We are not liable for any downtime, data loss, or service interruptions caused by:
- Scheduled or emergency maintenance.
- Third-party infrastructure failures (AWS, DNS providers, etc.).
- Force majeure events.
- Your network connectivity or equipment.
10. Intellectual Property
The Service, including its design, code, features, documentation, and branding, is owned by RecurDesk and protected by intellectual property laws. Nothing in these Terms grants you any rights to our intellectual property except the limited right to use the Service as described herein.
11. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability to you for any claim arising from or related to the Service is limited to the total fees you paid us in the 3 months preceding the claim.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
- We are not liable for the accuracy or completeness of invoices, billing calculations, or financial reports generated by the Service. You are responsible for reviewing and verifying all financial outputs.
12. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
13. Changes to Terms
We may modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service.
14. Termination
We may suspend or terminate your access to the Service if you breach these Terms, fail to pay subscription fees, or engage in activity that harms the Service or other users. You may terminate your account at any time through the Service settings.
Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive (including Limitation of Liability, Indemnification, and Governing Law).
15. Governing Law
These Terms are governed by the laws of Queensland, Australia. Any disputes arising from these Terms will be resolved in the courts of Queensland, Australia. You agree to submit to the exclusive jurisdiction of those courts.
